The company, set to merge with Armada Acquisition Corp. II and trade as XRPN, aims to be the largest publicly traded XRP treasury, backed by major institutional players.
Evernorth Holdings, an investment fund focused on XRP, is moving closer to a Nasdaq listing, a significant step that includes a meticulously structured executive compensation plan designed to incentivize aggressive business expansion. Recent filings with the SEC, specifically Amendment No. 5 to its Form S-4, reveal that key executives have secured pre-listing contracts that feature target bonuses equivalent to 50% of their base salaries, complemented by substantial multi-million-dollar equity packages.
The company is in the final stages of merging with Armada Acquisition Corp. II, a Special Purpose Acquisition Company (SPAC) platform supported by Arrington Capital. Upon completion, Evernorth Holdings plans to trade under the ticker symbol XRPN, with the stated ambition of becoming the world's largest publicly traded XRP treasury. This strategic move aims to offer traditional investors a regulated pathway into the XRP ecosystem.
To ensure high motivation and alignment with growth objectives during this pivotal phase, specific compensation details have been disclosed. Jessica Jonas, the Chief Legal Officer, has been granted a base salary of $400,000 and a Restricted Stock Units (RSU) package valued at $4.5 million. Concurrently, Chief Growth Officer Sagar Shah and Chief Operating Officer Megumi Nakamura each received fixed annual compensation of $300,000, alongside equity awards totaling $2.8 million for each.
This generous executive remuneration package comes at a time when Evernorth's balance sheet has experienced pressure from the broader cryptocurrency market. The company currently maintains a substantial reserve of 473 million XRP tokens. Despite having raised over $1 billion in gross proceeds through its financing rounds, a recent decline in XRP's price necessitated the recognition of a $38.4 million impairment loss on its digital assets. Consequently, the fund's cryptocurrency reserves were adjusted to an approximate value of $640 million at the end of July.
Despite these unrealized losses, Evernorth's institutional backing remains robust. The XRPN project enjoys direct support from prominent entities such as Ripple, the Japanese financial conglomerate SBI Holdings, Pantera Capital, and the cryptocurrency exchange Kraken, in addition to its sponsors at Arrington Capital. These strong alliances underscore the project's foundational stability and long-term potential.
