AI Giant Anthropic Launches Innovative Fund Tied to Company Value

Anthropic, a public benefit corporation known for its AI safety and interpretability research, has announced the creation of the Anthropic Public Benefit Fund. This new entity will initially hold five percent of the company’s shares, pending stockholder approval, with plans to increase its stake as Anthropic grows. The Fund is designed to enhance the company's flexibility and scale in its mission work, which already includes applied biomedical research and providing discounted access to its AI model, Claude, for nonprofits and scientific institutions.

Under the innovative structure of the Public Benefit Fund, an additional two percent of shares will be added at the board's discretion for every 50 percent increase in the company’s value above a predefined baseline. This mechanism ensures that as Anthropic expands, a larger portion of the company's equity will be dedicated explicitly to the public good. The Fund is established as a wholly-owned LLC, a format chosen over traditional 501(c)(3) or other structures to allow for greater adjustability and versatility across different forms of philanthropic giving, including potential large donations to established nonprofits or direct distributions to specific populations.

A critical aspect of the Fund's design is its firm use restriction: none of the Anthropic equity held by the LLC will be utilized for lobbying or political giving, either in the US or abroad. This aligns with Anthropic's existing ethos, which includes co-founders' pledges to donate 80 percent of their equity holdings and an ongoing employee equity donation match program that sees participation from approximately half of its workforce. The company positions the Fund as an alternative to the common practice of escalating executive compensation in tech, stating it is instead directing that equity towards the public benefit.

Beyond its internal mission work, Anthropic has already committed $200 million to study and address the labor market impacts of artificial intelligence, acknowledging that while AI may generate significant economic value, it could also create instability for many workers. The company recognizes the need for potentially bolder approaches given the rapid pace of AI progress, and the Fund is intended to provide the necessary versatility to pursue such initiatives.

With this announcement, approximately 20 percent of Anthropic shares are now dedicated to the public good, a figure that excludes any additional percentages that may be added through future valuation milestones. Anthropic has stated it will release more details regarding the Fund’s governance and specific milestones in the coming months, and will report on its progress in an upcoming public benefit report. The company is also actively engaging with independent evaluators, providing employee-like access to the METR team—a nonprofit that evaluates frontier AI models—and is in early discussions with other organizations like Hugging Face.
