Kenyan pay-as-you-go startup M-KOPA has strategically acquired Finnish software company KilpiTek Oy for a total of $8 million. The transaction, which was completed on March 26, 2026, marks a significant step for M-KOPA as it aims to bring critical technology central to its smartphone financing model in-house. This move is designed to strengthen the group's control over a pivotal component of its technology stack and bolster its overall product and sourcing strategy.
The acquisition involved M-KOPA securing 100% of KilpiTek’s voting shares through a cash-and-stock deal. M-KOPA remitted $2.67 million in cash, with the remaining $5.33 million comprising equity and other considerations, including M-KOPA ordinary shares, deferred considerations, and remuneration. Although the transaction was finalized after M-KOPA’s December 31, 2025, reporting date, it was categorized as a non-adjusting subsequent event, meaning it did not impact the group’s reported financial position or results for 2025.
KilpiTek Oy specializes in advanced device-locking technology. This innovative software enables financed smartphones to be remotely restricted or entirely shut down if customers fail to meet their repayment obligations. This capability serves as a crucial mechanism for managing credit risk, effectively acting as security for loans in scenarios where traditional collateral might be unavailable, thereby expanding access to financing for a wider demographic.
For M-KOPA, bringing this device-locking technology in-house is paramount. It reduces the company's dependence on third-party vendors for an essential component critical to its credit risk management framework. Direct control over this core operational infrastructure is expected to enhance M-KOPA's ability to tailor the locking system to various device manufacturers and optimize its phone sourcing strategy, leading to greater efficiency and flexibility.
This strategic acquisition underscores the increasing importance for growth-focused companies to consolidate control over critical elements of their value chain. By integrating such a vital capability, M-KOPA is better positioned to manage its credit portfolio, ensure robust execution, and achieve scalability as it continues to expand its customer base and product offerings across the competitive African market. It signals a dedicated focus on owning the infrastructure underpinning its successful smartphone financing business, thereby sustaining its growth trajectory.
