Super League Stockholders Greenlight Metaplanet's Massive 2,100 BTC Investment: Enter 'Superplanet' Era!

Super League Enterprise, Inc. stockholders have officially approved all proposals related to Metaplanet's significant 2,100 Bitcoin investment, a move that will transform the Nasdaq-listed company into Superplanet and establish it as the Japanese firm’s U.S. Bitcoin treasury vehicle. The approvals were granted during Super League Enterprise, Inc.’s 2026 annual meeting of stockholders, held on Friday and subsequently disclosed on Monday morning, following the initial announcement of the transaction in August.

Under the terms of the definitive agreement, Metaplanet, Inc. will contribute 2,100 Bitcoin and an additional $2.5 million in cash. This contribution will be facilitated through its wholly-owned U.S. subsidiary, Metaplanet Holdings, Inc. In exchange for this substantial investment, Metaplanet will receive 44,859,400 shares of common stock, valued at $3.00 per share, alongside preferred stock and warrants. Upon the transaction's closing, Super League will undergo a renaming to “Superplanet, Inc.” and its shares will be traded on Nasdaq under the new ticker symbol “SUPA.”

Despite this major corporate restructuring, Super League's existing advertising and media activation business is set to continue operating as a distinct segment, with Matt Edelman retaining his position as chief executive officer. Among the key measures ratified by the stockholders were the issuance of common stock and warrants to Metaplanet, the official corporate name change, and an increase in authorized preferred shares from 10 million to 100 million, as detailed in a summary of the meeting posted on X.

Both companies’ leadership emphasized the strategic importance of this approval. Simon Gerovich, CEO of Metaplanet, stated on X that the vote represented “an important step in our transformation from a Bitcoin treasury company into a global Bitcoin-native financial platform.” He added that “Upon close, Superplanet will be our U.S.-listed Bitcoin treasury platform, providing direct access to U.S. capital markets and greater flexibility to opportunistically raise capital.” Matt Edelman echoed this sentiment in the company’s announcement, affirming that “Their approval brings us one step closer to redefining what this company can become.”

The closing of this transformative deal is anticipated in the fourth quarter of 2026, contingent upon customary closing conditions and required filings with the Nasdaq Capital Market. While stockholder approvals represent a crucial step, they are not the final one. Super League also indicated that the arrangement includes provisions intended to govern Metaplanet’s ability to dispose of its equity holdings post-transaction, though specific exceptions to these restrictions were not detailed.

Metaplanet, which describes itself as the third-largest corporate Bitcoin treasury among publicly traded companies, held an impressive 43,000 BTC as of August 18. The overarching strategy behind this combined structure is to provide the group with two distinct listed Bitcoin treasury platforms: one on the Tokyo Stock Exchange and another on Nasdaq. Each platform will cater to its own unique investor base and operate with its respective reporting currency. Super League's core business involves connecting brands with a vast global gaming population of 3.3 billion people through advertising and branded content programs across various gaming and digital media platforms. Metaplanet, a Tokyo-listed entity, focuses on building Bitcoin-based financial products and infrastructure. Following the news of the stockholder approval, shares of Super League experienced an upward movement.
