SAP's Billion-Dollar Bet: Tech Giant Injects $1.16B into Young German AI Lab and Embraces NemoClaw

Enterprise software giant SAP is making a significant strategic move into artificial intelligence, announcing its intention to acquire German AI startup Prior Labs. This acquisition comes at a crucial time for SAP, whose stock experienced a notable drop in 2026, partly attributed to the broader "SaaSpocalypse" affecting the industry. Despite OpenAI COO's earlier admission that AI had "not yet really seen AI penetrate enterprise business processes," SAP is placing AI front and center in its future strategy, recognizing both the threats and opportunities it presents.
The financial details of the acquisition remain undisclosed, but sources close to Pathfounders suggest it was a substantial "almost all cash" deal, providing Prior Labs' founders – Frank Hutter, Noah Hollmann, and Sauraj Gambhir – with well over half a billion dollars in cash upfront. Beyond the acquisition cost, SAP plans a substantial investment of €1 billion (approximately $1.16 billion) into Prior Labs over the next four years. This investment is earmarked to transform the startup into a leading AI lab specifically focused on structured data, which includes the tables and databases integral to enterprise information systems.
Prior Labs, co-founded just 18 months ago, specializes in Tabular Foundation Models (TFMs). These AI models are designed to make accurate predictions from data organized in tables and databases, offering a potentially more suitable fit for enterprise applications than traditional language models. This focus aligns perfectly with SAP's core business, as its widely used software products for accounting, HR, procurement, and expense management are heavily reliant on its proprietary database technology. SAP CTO Philipp Herzig emphasized this synergy, stating, "Early on, SAP recognized that the greatest untapped opportunity in enterprise AI wasn’t large language models; it was AI built for the structured data that runs the world’s businesses." The acquisition of Prior Labs provides SAP with a significant shortcut in this strategic direction.
Prior Labs has already demonstrated considerable traction with its TabPFN model series. Its open-source models have been downloaded over three million times by developers. SAP has committed to maintaining these open-source versions, with Prior Labs expected to operate as an independent unit to preserve its research agility. The goal is to leverage SAP's long-term investment and provide a direct path for productization across the entire SAP portfolio, integrating with platforms like SAP AI Core, SAP Business Data Cloud, and its agentic layer with Joule.
Beyond its investment in Prior Labs, SAP has been actively engaging with the broader generative AI landscape. In 2023, it backed prominent generative AI companies, including OpenAI rival Anthropic, as well as Aleph Alpha and Cohere, which are now poised to merge into a "global AI powerhouse." SAP also developed its own relational pretrained transformer model, SAP-RPT-1, further showcasing its commitment to pioneering AI advancements relevant to enterprise data.
However, SAP's approach to AI also includes a strong defensive posture, particularly concerning agentic AI. The company has implemented strict policies, blocking unauthorized AI agents like OpenClaw from accessing its products through its API. This strategy contrasts sharply with that of competitors like Salesforce, which, through its new Headless 360 architecture, allows enterprises to choose their own agents, including OpenClaw. SAP's official API policy explicitly "prohibits" AI agents unless they are "SAP-endorsed architectures," which naturally includes its own offering, Joule Agents, currently in beta. Furthermore, SAP has partnered with Nvidia, announcing in March that its Joule platform supports Nvidia’s Agent Toolkit. This integration means that SAP customers will be authorized to use NemoClaw agents, Nvidia's enterprise-ready and security-focused method for deploying OpenClaw.
Prior Labs' journey to this acquisition was notable. In February 2025, the startup successfully raised approximately $9.3 million in a pre-seed funding round led by Balderton Capital. Balderton partner James Wise hailed the acquisition as "one of Germany’s biggest ever venture outcomes." The co-founders, including CEO Frank Hutter, expressed enthusiasm for the "massive boost" from SAP, envisioning Prior Labs becoming a new "globally-leading frontier AI lab for structured data — in Europe, in the open." As for SAP, its stock has seen a slight upward trend following these strategic announcements, underscoring investor confidence in its focused AI direction.
