("") and HouseStack Holdings Inc. (""). The LOI outlines the principal terms and conditions of a business combination by way of a share exchange, amalgamation, or other similar form of transaction (the "Proposed Transaction"), which will result in Shift and HouseStack becoming wholly-owned subsidiaries of Predictiv AI, or otherwise combining with a wholly-owned subsidiary of the Company.
