Africa's Giant: Dangote Refinery Extends $2.1 Billion IPO, Eyeing Broader Investor Base

The initial public offering (IPO) of Nigerian billionaire Aliko Dangote’s oil refinery, originally scheduled to close, has been extended. Initially, the extension was reported to be for 10 days, aimed at allowing investors from other African countries to participate. This landmark share sale targets the general public, seeking to raise as much as $2.1 billion to fund the refinery’s expansion, in what is anticipated to be Africa’s largest share offering. The refinery, owned by Africa’s richest man, Aliko Dangote, intends to broaden the ownership of its 700,000-barrel-per-day refining complex by targeting up to 10 million retail investors in Nigeria and across the continent.

Following approval from the Securities and Exchange Commission (SEC), Dangote Petroleum Refinery and Petrochemicals officially extended the closing date of its Initial Public Offering to Tuesday, October 27, 2026. This decision was made to accommodate the growing investor interest from across Africa and to facilitate broader participation in the offer. Aliko Dangote, President/Chief Executive of Dangote Industries Limited, revealed that subscriptions have already substantially exceeded the company’s original fundraising target. He emphasized that the primary goal is not merely capital generation, but to enable more Africans to become shareholders in one of the continent’s largest industrial enterprises.

Speaking during a visit by Kenyan parliamentarians to the Dangote Refinery in Lagos, Dangote reiterated the overwhelming demand. He stated, “The IPO is going very well. We will extend the date because we want a lot of African brothers and sisters to participate.” He further explained that the amount raised had already surpassed the initial target by several times, underscoring that the focus was on the number of participants rather than just the capital amount. Discussions with the Nairobi Securities Exchange have helped identify a framework to facilitate wider investor participation, which the Group plans to replicate across other African capital markets, making the offer more accessible, subject to regulatory requirements.

In a formal announcement, Dangote Petroleum Refinery and Petrochemicals FZE confirmed that the application period for its offering of 4.1 billion ordinary shares at ₦525 per share, which began on September 14, would now conclude on October 27, 2026, instead of the original October 13. The offer, valued at approximately ₦2.15 trillion, stands as one of Nigeria’s largest equity offerings and signifies a crucial step in Dangote’s vision to broaden African ownership of significant industrial assets.

The company attributed the extension to strong interest from eligible investors across Africa and other jurisdictions, alongside ongoing efforts to enhance accessibility beyond Nigeria. These efforts include expanding distribution channels and introducing depositary receipt programmes to facilitate cross-border investment. The additional time also provides prospective investors with more opportunity to complete essential processes such as account opening, identity verification, and other regulatory requirements necessary for participation. David Bird, Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, affirmed that the extension reinforces the company’s commitment to making the offer accessible to a wider pool of African investors, thus realizing the ambition to allow as many people as possible to participate and share in the future growth of DPRP.
