ICG Enterprise Trust plc (the “Company”) announced on June 9, 2025, that it had engaged in a transaction involving its own shares. The company executed a buyback of 15,000 of its own shares on June 6, 2025. These shares were purchased at an average price of 1331 pence per share and are intended to be held as treasury shares.

Following the settlement of this purchase, the total number of shares held by the Company as treasury shares will be 206,044. Consequently, the total number of shares in issue, excluding these treasury shares, will stand at 63,348,148. This buyback was conducted under the authority granted by shareholders at the Company's Annual General Meeting in June 2024.

The shareholder authority permits the Company to repurchase a maximum of 14.99% of its ordinary shares. The actual number of shares repurchased by the Company will be dependent on market conditions. This authority is set to last until the next shareholder authority is granted, which is expected to be at the Annual General Meeting in 2025, or until it is expressly revoked by shareholders.

The Company has not determined a maximum consideration payable for these repurchases. However, a key condition is that the Company is unable to pay a price for any shares acquired through the buyback program that would equate to a premium to its net asset value. It is the Company’s current intention to hold any shares bought back in treasury.

ICG Enterprise Trust plc has instructed Numis Securities Limited, trading for these purposes as Deutsche Numis, to act as its broker in respect of its buyback transactions.
