India’s Competition Commission has cleared the acquisition of a 99.44% equity and preference stake in Ecom Express Limited by Indian logistics firm Delhivery Limited, marking a significant consolidation move in the country’s e-commerce logistics sector, according to a press release by India’s Press Information Bureau.

Under the approved deal, Delhivery will acquire at least 99.44% of the fully diluted shareholding of Ecom Express, a private Indian company specialising in delivery services for online retailers. Ecom Express offers a range of solutions, from order pickup and distribution to returns and warehousing, using automated infrastructure and digital operations. Delhivery, which is publicly traded, has established itself as an end-to-end logistics player in India.

The company handles express parcel services, bulk goods delivery, warehousing, full and partial truckload freight, and cross-border express logistics. It also provides supply chain software and value-added services across its extensive network. Delhivery has consistently invested in automation, proprietary logistics technology, and data analytics to improve efficiency.

The Competition Commission of India’s clearance, issued on June 17, 2025, effectively paves the way for one of the largest takeovers in the Indian logistics industry, allowing Delhivery to absorb Ecom’s capabilities and extend its dominance in the e-commerce delivery space.

The deal is expected to bolster Delhivery’s position by expanding its operational footprint and technological edge, particularly in servicing India’s growing online retail sector. The value of the transaction was not disclosed, but the equity swap underscores increasing consolidation in the logistics space amid intensifying competition and digitisation.
